Upgrade Shopping Program Terms & Conditions

The Upgrade Shopping Program, or the “Program”, made available by Upgrade, Inc. (“Upgrade”) provides offers from participating merchants to eligible customers with an open Upgrade online account in good standing (each an “Offer,” collectively “Offers”). By participating in the Upgrade Shopping Program and as applicable, Spending Power, you acknowledge that you have read, understand, and agree to be bound by these Upgrade Shopping Program Terms & Conditions (the “Terms and Conditions”).

Each Offer is made available to you by participating merchants. Upgrade is not responsible for ensuring redemption of any such Offer. Under this program, eligible customers will have access to all Offers that are available on the Upgrade Shopping Program. For the current list of participating merchants and Offers available to you under this program, go to Upgrade Shopping on your Upgrade account dashboard. Participating merchants and Offer terms may be changed from time to time without notice.

For Offer specific terms, please review the merchant’s applicable terms and conditions for the applicable Offer. Participating merchants, in their sole discretion, establish the terms and conditions for each Offer and determine whether you have satisfied such terms and conditions. When you click on each Offer, you will be provided with the merchant’s specific terms which may contain additional requirements for activation or redemption. Your purchase must satisfy all the requirements of the specific Offer in order to qualify for it. When you are redeeming an Offer with a participating merchant, you should review each merchant’s website privacy policy, as Upgrade has no control over information you submit to these third parties. If you have any questions or concerns regarding a specific Offer, please contact the merchant directly.

Spending Power

Spending Power is only available through Flex Pay by Upgrade, or other such products as we may make available to you from time to time. “Spending Power” is an estimate of the amount you may prequalify for a loan made through Flex Pay by Upgrade which is based on your creditworthiness and other information known to us or as you may provide. Your Spending Power amount is available for a one-time purchase and is not replenishable, or guaranteed to be accessible at a later date after a purchase is made with a loan made through Flex Pay. In order to see your Spending Power, you will need to submit a pre-qualification request, and you may be declined for future loans through Flex Pay. Your loan is subject to the loan agreement for each loan through Flex Pay. Spending Power estimates are only valid for the amount of time as displayed to you, and are subject to approval, which is not guaranteed. Spending Power may not be available for all Upgrade Shopping Program participants. Certain merchants or even individual items from merchants may not be available to utilize your Spending Power with a loan through Flex Pay. You acknowledge that you are responsible for reviewing applicable merchant policies, and that the merchant is not a party to the loan agreement. If you have a dispute with the merchant, you agree to try to settle the dispute directly with the Merchant. Certain Offers may not be combinable with a loan through Flex Pay. Down payment may be required depending on the loan through Flex Pay. Loans through Flex Pay by Upgrade are offered by these lending partners .

Miscellaneous

By participating in the Upgrade Shopping Program, you understand and agree to the following:

  1. Prohibited Uses. You represent and warrant that you will not access or use the Upgrade Shopping Program to engage in any illegal, fraudulent, or other illicit activity.
  2. Trademarks. All trademarks are the property of their respective owners.
  3. Changes to Program. Upgrade may revise these Terms and Conditions from time to time in its sole discretion. The revised version will be effective at the time it is posted on this webpage, provided that we will notify you of any change when required by applicable law, either to the email address associated with your Upgrade account or by other such method as Upgrade may designate. Please regularly check this webpage so you are aware of any changes. By continuing to participate in the Upgrade Shopping Program after the effective date of any changes, you thereby agree to such changes in these Terms and Conditions. If you do not agree to these Terms and Conditions, or any revised version of these Terms and Conditions you may opt out as further detailed below.
  4. Warranty Disclaimer; Limitation of Liability. The Upgrade Shopping Program and any related program content is provided “as is.” Upgrade and its bank partners, and their respective affiliates, directors, officers, employees, agents or contractors (together, “Upgrade Parties”) make no representations or warranties concerning the Upgrade Shopping Program or any related program content, either express or implied, including, without limitations, warranties of title, merchantability, fitness for intended use or a particular purpose, non-infringement, and otherwise arising by law, custom, usage, trade practice, course of dealing or course of performance. Upgrade Parties do not warrant that the functionality or availability of the Upgrade Shopping Program and any related program content will be uninterrupted or error-free, that defects will be corrected, or that they will be free of viruses or other harmful components. TO THE EXTENT ALLOWED BY APPLICABLE LAW, IN NO EVENT WILL UPGRADE PARTIES BE LIABLE TO YOU OR TO ANY OTHER PARTY FOR ANY DIRECT, INDIRECT, OR ANY OTHER SPECIAL, CONSEQUENTIAL, INCIDENTAL, DAMAGES, INJURY, CLAIM, OR LIABILITY OF ANY KIND ARISING FROM YOUR USE OF THE UPGRADE SHOPPING PROGRAM, EVEN IF THE UPGRADE PARTIES ARE AWARE OR HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  5. Termination of Program. We may, without prior notice or liability to You, discontinue the Upgrade Shopping Program or modify the program by adding or removing features or functionalities, subject to applicable law. 
  6. Tax. You will be solely responsible for any and all tax liability arising out of the Upgrade Shopping Program. Please consult Your tax advisor.
