2 To qualify for the welcome bonus, you must open and fund a new Rewards Checking Plus account through Upgrade and make 3 qualifying debit card transactions from your Rewards Checking Plus account within 60 days of the date the Rewards Checking Plus account is opened. If you have previously opened a checking account through Upgrade or do not open a Rewards Checking Plus account as part of this application process, you are not eligible for this welcome bonus offer. Your Upgrade Card and Rewards Checking Plus account must be open and in good standing to receive a bonus. To qualify, debit card transactions must have settled and exclude ATM transactions. Please refer to the applicable Upgrade VISA® Debit Card Agreement and Disclosures for more information. Welcome bonus offers cannot be combined, substituted, or applied retroactively. The bonus will be applied to your Rewards Checking Plus account as a one-time payout credit within 60 days after meeting the conditions.

3 Credit Lines opened through Upgrade feature Annual Percentage Rates (APRs) of 14.99% - 29.99% and line amounts ranging $500 - $50,000. Optional ACH transfers to your bank account, balance transfers, and foreign transactions are subject to fees that, if incurred, will increase your finance charge and APR. The lowest rates require Autopay and the majority of the line amounts will be $25,000 or under. For example, a $5,000 transaction with a 36 month term and a 19.99% APR has a required monthly payment of $187.90. The APR on your transaction may be higher or lower. Your rate, line amount, and default term depend on maintaining a qualifying credit score, your credit usage history, requested amount, and other factors. The Upgrade Card is unique in that it allows you to obtain a series of closed-end loans which you may access through transactions such as card purchases up to the approved line amount. As you repay your balance, additional credit may become available to you up to the approved line amount subject to meeting our credit requirements. The Upgrade Card will not replenish as it would in an open-end credit arrangement.

4 Purchases in Gas, Grocery, Health, Streaming, and Utilities categories accrue 3% cash back with no maximum when you pay them back (excluding Target and Walmart); all other purchases accrue 1% with no maximum. Your accrued cash back will generally be applied to your balance after your next scheduled monthly payment. If you do not have a balance and for as long as your card account is open, you may elect to have cash back applied as a deposit into your bank account on file. Cash back rewards are redeemed once applied. Cash back rewards applied to your balance will not otherwise reduce the amount of your regular monthly payments. Eligibility for cash back based on categories is determined by the merchant category code (MCC), which is assigned to merchants based on the kinds of products and services they primarily sell. 5 You will accrue cash back rewards when you pay eligible purchases back. To get 3% or 2% cash back on your Upgrade OneCard, you must open a Rewards Checking or Rewards Checking Plus account through Upgrade (“Rewards Checking Account”) and either (i) activate the Pay Now feature on your OneCard and keep that feature linked to your Rewards Checking account or (ii) maintain each month a qualifying active Rewards Checking Account as described here. If you meet these conditions, you will accrue 3% cash back for common everyday OneCard purchases at convenience stores, drugstores, restaurants and bars—including deliveries—and gas stations, as well as recurring payments on utilities and monthly subscriptions including phone, cable, TV and other streaming services; you will accrue 2% cash back for all other OneCard purchases. 3% cash back is limited to $500 in rewards per calendar year; after $500, you will accrue 2% cash back. If you do not meet the above conditions, you will accrue 1.5% cash back for all purchases. Your accrued cash back will generally be applied to your balance after your next scheduled monthly payment. If you do not have a balance and for as long as your card account is open, you may elect to have cash back applied as a deposit into your bank account on file. 6 Pay Now is a feature of OneCard that allows you to designate specific purchases to be automatically paid off the day after purchases settle. When you authorize us to activate Pay Now, we’ll ask you to tell us your preferences as to which purchases you want to be designated as Pay Now and which as Pay Later. Each purchase will be processed as a credit transaction, but while you will not be charged interest on any purchases that you pay off using Pay Now, purchases designated as Pay Later will accrue interest at the fixed APR shown on your Truth-in-Lending disclosure. Every time you make a OneCard purchase, we’ll designate the purchase as Pay Now or Pay Later based on the preferences you gave us. Even after you make a purchase, you may change the designation of that purchase from Pay Now to Pay Later, or vice versa, up until 12pm Pacific Time the day after your purchase settles. Every day at 12pm Pacific Time, we will initiate one-time debits to your bank account to pay off the prior day’s settled purchases that were designated as Pay Now. You may cancel a Pay Now payment up until 12pm Pacific Time by simply changing that day’s Pay Now purchases to Pay Later through your Upgrade dashboard or mobile app. If a Pay Now debit is returned by your bank, we will switch the underlying purchases to Pay Later, and those purchases will accrue interest as of the original purchase date. Designating a purchase as Pay Later gives you the flexibility to pay balances back over time with a fixed payment period.

7 The Upgrade Card cannot be used at an ATM.

8 With Upgrade Shopping powered by Dosh® you accrue cash back on qualifying purchases at participating merchants. For the current list of participating merchants and offers available to you, go to Upgrade Shopping on your account dashboard. Participating merchants and offer terms may be changed from time to time without notice. After a qualifying purchase has settled, your cash back will typically be applied to your balance within 90 days. Cash back rewards will be applied to your balance and will not otherwise reduce the amount of your regular monthly payments. If you return, charge back, cancel, dispute, or otherwise request a refund for a qualifying purchase for which you have already received Upgrade Shopping cash back, we reserve the right to remove any related cash back amount from your Upgrade Card or withhold future cash back to cover any such amount. To opt-out of the Upgrade Shopping program, please email upgrade customer service at support@upgrade.com. Please note that an opt out is permanent and will apply to any Upgrade Shopping account(s) you have at the time of such opt out and any new account you may open in the future through Upgrade that is eligible for Upgrade Shopping (i.e., such new account will not be enrolled in the Upgrade Shopping program and you will not be able to accrue any rewards under this program on any of your existing or future accounts through Upgrade).
